Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Clickbox Inc., a Delaware corporation, operating the LogiRates.com platform (“Clickbox,” “LogiRates,” “we,” “our,” or “us”). By accessing or using the LogiRates.com website or any related services (collectively, the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICE. Your continued use of the Service following any modification of these Terms constitutes your acceptance of the modified Terms.

You must be at least eighteen (18) years of age and legally capable of entering into binding contracts to use this Service. By using the Service, you represent and warrant to us that you meet these requirements.

2. Description of Service

LogiRates.com is an online shipping rate comparison and shipping service purchasing platform that enables registered users to obtain shipping rates from, and purchase shipping services through, United Parcel Service, Inc. (“UPS”); United States Postal Service (“USPS”); and FedEx Corporation (“FedEx”).

The actual transportation and delivery of parcels is performed exclusively by the applicable carrier. LogiRates does not itself transport, handle, or take physical possession of any shipment.

The Service may be expanded, modified, or discontinued at our sole discretion. We reserve the right to add or remove carrier integrations, payment methods, or features at any time.

3. User Accounts

3.1. Registration

To access the full functionality of the Service, including creating shipments and processing payments, you must register for an account. You agree to provide accurate, truthful, current, and complete information during registration and to keep such information updated at all times.

3.2. Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. LogiRates will not be liable for any loss or damage arising from your failure to comply with this Section. We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or which misuse the Service.

3.3. Account Termination

LogiRates reserves the right to suspend or terminate your account without prior notice if we determine, in our sole discretion, that you have violated these Terms, engaged in fraudulent activity, or pose a risk to the Service or other users. Upon termination, any outstanding obligations you have incurred remain enforceable.

4. Personal Data and Privacy

Our full Privacy Policy, available at logirates.com/docs/privacy-policy, governs our data practices and is incorporated into these Terms. By using the Service, you consent to the data practices described therein.

5. Shipments and Carrier Services

5.1. Purchasing Shipping Services

When you purchase a shipping service through LogiRates, you are purchasing carrier services from UPS, USPS, or FedEx at rates presented through our platform. You acknowledge that:

• LogiRates does not guarantee carrier rate availability;
• Rates are subject to change based on carrier pricing updates;
• The price shown at checkout is the price you pay for the label. The carrier may charge an adjustment only if the actual package weight, dimensions, or service details differ from what you entered; and
• LogiRates is not a party to the contract of carriage between you and the selected carrier, and, therefore, owes you no duty and will not be liable for any damages that may be suffered by you as a result of you entering into such contract of carriage.

5.2. Prohibited Shipments

You represent and warrant that all shipments you create through the Service comply with all applicable laws and carrier regulations. In addition, you agree not to send:

• Any item prohibited by federal, state, or local law, or by the applicable carrier’s terms of service;
• Hazardous materials, explosives, flammable substances, or other dangerous goods not properly declared and packaged in accordance with applicable regulations;
• Controlled substances, illegal drugs, or drug paraphernalia;
• Weapons, firearms, or ammunition, except as strictly permitted by law and carrier policy with all required documentation;
• Currency, negotiable instruments, or precious metals in excess of carrier-permitted limits;
• Counterfeit goods or items that infringe the intellectual property rights of any third party;
• Live animals, perishable goods, or human remains without express carrier authorization and applicable permits;
• Lithium batteries not packaged per carrier rules;
• Any items that you do not have legal authority to send.

You are solely responsible for compliance with all carrier-specific restrictions. Violation of this Section may result in immediate account termination, forfeiture of shipping fees, and referral to appropriate law enforcement authorities.

5.3. Declared Value and Insurance

LogiRates facilitates the display of carrier-offered liability coverage options. Carrier liability for lost or damaged shipments is governed exclusively by the applicable carrier’s terms and conditions. You are responsible for selecting appropriate declared value coverage at the time of label purchase. LogiRates does not provide independent insurance for shipments.

5.4. Delivery and Disputes

Estimated delivery times provided are based on carrier representations and are not guaranteed. Disputes regarding delivery, damage, or loss must be filed directly with the applicable carrier in accordance with that carrier’s claims procedures.

5.5. Label Generation and Use

After purchase, you are solely responsible for printing the shipping label exactly as generated, affixing it correctly, and packaging the shipment in accordance with the carrier’s requirements. LogiRates is not responsible for any delay, loss, or additional charges caused by incorrect labeling, insufficient packaging, or failure to meet carrier specifications. Labels are valid only for the specific shipment details entered at the time of purchase; any material change requires a new label purchase. Unused shipping labels may be voided and refunded only in accordance with the applicable carrier’s policy and within the time limits set by that carrier.

6. Payments and Billing

6.1. Accepted Payment Methods

LogiRates accepts the following payment methods for purchasing shipping and related services:

• Major credit and debit cards, processed by our payment provider Stripe. LogiRates does not store your full card details.

All transactions are processed in United States Dollars. By providing payment information, you represent and warrant that you are authorized to use the payment method and that the information you provide is complete and accurate.

6.2. Billing and Charges

You authorize LogiRates and its payment processors to charge your selected payment method for all shipping labels and services you purchase. Charges are applied at the time of label purchase. The price shown at checkout includes any LogiRates service fee; no additional fees are added after purchase. You are responsible for any applicable taxes, duties, or surcharges associated with your shipments.

6.3. Refunds

Refund eligibility for unused shipping labels is subject to carrier-specific policies.

6.4. Disputed Charges

If you believe a charge is erroneous, you must contact us at mail@logirates.com within thirty (30) days of the charge date. Initiating a chargeback with your payment provider without first contacting LogiRates may result in account suspension pending investigation.

7. Intellectual Property

All content on the LogiRates.com platform and/or website, including but not limited to text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, is the property of Clickbox or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or business shipping purposes. You may not:

• Reproduce, distribute, modify, create derivative works of, publicly display, or exploit any portion of the LogiRates.com platform and/or website without our express written permission;
• Use automated tools, bots, scrapers, or data-mining software to access or extract data from the LogiRates.com platform and/or website;
• Reverse engineer, decompile, or attempt to extract the source code of any software component of the LogiRates.com platform and/or website;
• Use Clickbox’s trademarks, trade names, service marks, or logos without prior written authorization.

Carrier names, logos, and trademarks (UPS®, USPS®, FedEx®) are the property of their respective owners and are used by LogiRates solely to identify the carrier services offered.

8. Prohibited Conduct

You agree not to use the Service in any manner that:

• Violates any applicable federal, state, local, or international law or regulation, including without limitation those governing export control, data privacy, money laundering, and anti-terrorism;
• Is fraudulent, deceptive, or misleading, including creating fictitious shipments or providing false package information to obtain lower rates;
• Interferes with, disrupts, or places an unreasonable burden on the infrastructure of the LogiRates.com platform and/or website or the networks connected to it;
• Attempts to gain unauthorized access to any portion of the Service, its servers, or any third-party systems through the LogiRates.com platform and/or website;
• Harasses, abuses, or harms another user, carrier representative, or LogiRates employee;
• Involves the transmission of unsolicited communications or spam through the Service; and/or
• Impersonates any person or entity or misrepresents your affiliation with any person or entity.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LOGIRATES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS (COLLECTIVELY, “LOGIRATES PARTIES”) EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY RATES, DELIVERY ESTIMATES, OR CARRIER INFORMATION PRESENTED THROUGH THE SERVICE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT FULLY APPLY TO YOU.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LOGIRATES PARTIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF LOGIRATES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF THE LOGIRATES PARTIES TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO LOGIRATES IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT FULLY APPLY TO YOU.

11. Indemnification

You agree to defend, indemnify, and hold harmless the LogiRates Parties from and against any and all claims, causes of action, penalties, fines, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to any of the following: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your infringement of any third-party right, including intellectual property rights; or (e) the content of any shipment you intend to effectuate with the Service.

LogiRates reserves the right to assume exclusive control of any matter subject to indemnification by you, at your sole expense. You agree to cooperate with LogiRates’ defense of such claims.

12. Governing Law and Dispute Resolution

12.1. Governing Law

These Terms and any dispute arising out of or related to them or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law principles, except to the extent preempted by federal law.

12.2. Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to contact LogiRates at mail@logirates.com with a written description of your claim and proposed resolution. The parties will attempt to resolve the dispute informally for a period of thirty (30) days from the date of notice. You agree and understand that this informal resolution is a condition precedent to asserting any claim you believe you may have against LogiRates in any other forum.

12.3. Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by final and binding arbitration administered by JAMS pursuant to its Streamlined Arbitration Rules and Procedures, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights. The arbitration shall be conducted in Wilmington, Delaware (or by videoconference at the election of either party for claims under $10,000) and judgment on the award may be entered in any court having jurisdiction.

12.4. Class Action Waiver

YOU AND LOGIRATES AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. ANY ARBITRATION SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS ONLY.

12.5. Venue for Non-Arbitrable Claims

For any claims found not subject to arbitration, you and LogiRates consent to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware.

13. Modifications to the Terms

LogiRates reserves the right to modify these Terms at any time in its sole discretion. When we make material changes, we will notify you by posting the revised Terms on the Service and updating the Effective Date at the top of this document, and, where required by law or where practicable, by sending notice to the email address associated with your account.

Your continued use of the Service after the effective date of any modification constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue your use of the Service immediately.

14. Third-Party Services and Links

The Service may contain links to or integrations with third-party websites and services, including carrier tracking portals and payment processors. These third-party services operate under their own terms and privacy policies, which you are responsible for reviewing. LogiRates does not endorse or assume responsibility for any third-party content, products, or services accessed through the Service.

15. Force Majeure

LogiRates shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, labor disputes, government actions, carrier network outages, internet or telecommunications failures, or power outages.

16. General Provisions

16.1. Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated herein, constitute the entire agreement between you and LogiRates regarding the Service and supersede all prior agreements, representations, and understandings.

16.2. Severability

If any provision of these Terms is found invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16.3. No Waiver

LogiRates’ failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

16.4. Assignment

You may not assign or transfer your rights or obligations under these Terms without LogiRates’ prior written consent. LogiRates may freely assign these Terms in connection with a merger, acquisition, sale of assets, or by operation of law.

16.5. Notices

Notices to LogiRates under these Terms should be sent to mail@logirates.com. Notices to you will be sent to the email address associated with your account.

16.6. Electronic Communications

By using the Service, you consent to receive electronic communications from LogiRates. You agree that any notices, agreements, disclosures, or other communications that LogiRates sends to you electronically satisfy any legal requirement that such communications be in writing.
